Pre-introduction terms

These terms govern the introduction of a contractor by Nelson Frank, a trading name of Nigel Frank International Ltd (“Nelson Frank”) to you (“the Client”) prior to formal terms of business being agreed.

The information we provide is supplied solely for the purpose of providing an introductory service and upon receipt of such information you agree to the following provisions:

1. An introduction shall be deemed to have taken place when Nelson Frank provides the Client with any information relating to a Contractor (including an individual, a limited company and/or its consultants), in whatever format said information is submitted.
2. An introduction of a Contractor to the Client from Nelson Frank is Client specific and not role or vacancy specific. Once a Contractor is introduced to the Client the above terms apply for any roles or vacancies which the Client Engages with the Contractor for.
3. Should the Client already be in communications with the introduced Contractor for a vacancy or role and unequivocal, affirmative and reciprocal communication is provided to Nelson Frank within 5 days of the introduction, these terms will not be binding in relation to the specific Contractor for that specific role or vacancy.
4. If, within 12 months of an introduction, a Contractor is appointed, retained or utilized by the Client or any subsidiary, associated company or client of the Client (“Affiliates”), directly or indirectly (“Engage”), then the contract MUST take place through Nelson Frank.
5. Should the Client or its Affiliates Engage the Contractor directly, via another Agency or under a contract of employment then a fee (“the Introduction Fee”) becomes payable by the Client to Nelson Frank which is calculated at twelve weeks of the anticipated gross charge out rate.
6. If a Contractor is appointed and Nelson Frank’s Agreed Terms of Business for Contract Recruitment Services are signed by both parties (or Client’s own terms where appropriate) the terms of the signed agreement will supersede these pre-introduction terms.

Ces termes d’introduction déterminent la présentation d’un Candidat (« Candidat ») par Nelson Frank, nom commercial de Nigel Frank International Ltd (« Nelson Frank ») à vous (« Client »), avant que les conditions de vente ne soient acceptées.

Les informations données ci-dessous ont pour unique but le lancement de cette collaboration. Dès la réception de ces informations, vous acceptez les dispositions suivantes:

1. Un candidat sera accepté dès lors que Nelson Frank communiquera au Client tout renseignement et information concernant le Candidat permettant de l’identifier (y compris un particulier, une société à responsabilité limitée et / ou de ses consultants), dans tout type de format ou les informations ont été présentés.
2. L’introduction d’un Candidat à un Client par Nelson Frank est spécifique à un Client et non à un poste. Une fois que le Candidat est présenté au Client, ces termes de vente s’appliquent pour tous les postes auxquels le client et le candidat se sont engagés.
3. Si le Client est déjà en contact avec le Candidat pour un poste, et qu’une communication sans équivoque, positive et réciproque est fourni à Nelson Frank dans les 5 jours suite à la présentation de ce dernier, ces termes ne s’appliquent pas par rapport au candidat et au poste.
4. Si, dans les 12 mois suivants une présentation, un Candidat est nommé, conservé ou utilisé par le Client ou toute filiale, société liée ou client du client («Affiliés»), directement ou indirectement, alors le Client sera redevable envers Nelson Frank et devra verser des honoraires.
5. Si le Client ou l’une de ses sociétés affiliées engage le Candidat directement, ou par l’intermédiaire d’une autre agence ou en vertu d’un contrat de travail, les frais d’agence doivent être payés par le Client à Nelson Frank à hauteur de 12 semaines des frais brut prévus.
6. Si un Candidat est nommé et que les conditions de vente de Nelson Frank ont été signés par les deux parties (ou ceux envoyé par le Client), ces conditions remplaceront ces termes d’introduction.

Diese Bedingungen regeln das Vorstellen eines Ihnen („dem Kunden“) von Nelson Frank International („Nelson Frank“) zur Verfügung gestellten Auftragsnehmers.

Die von uns zur Verfügung gestellten Informationen dienen ausschließlich dem Zweck einer Vorstellungsdienstleistung. Bei Empfang derartiger Informationen stimmen Sie den den folgenden Konditionen zu:

1. Die Vorstellung eines Auftragsnehmers gilt als stattgefunden, sobald Nelson Frank dem Kunden jedwede Information über besagten Auftragsnehmer (einschließlich eines Individuums, eines Unternehmens und/oder dessen Berater) mitgeteilt hat; unabhängig von der Form der Übermittlung.
2. Das Vorstellen eines Auftragsnehmers durch Nelson Frank gegenüber dem Kunden ist kundenspefizisch und nicht rollen- oder vakanzenspezifisch. Sobald ein Auftragsnehmer dem Kunden vorgestellt wurde, gelten die benannten Konditionen für alle Rollen oder Vakanzen bezüglich derer der Auftragsnehmer mit dem Kunden interagiert.
3. Sollte der Kunde bereits in Korrespondenz mit dem vorgestellten Auftragsnehmer bezüglich einer Rolle oder Vakanz stehen und Nelson Frank unmissverständlicher, bestätigter und beidseitiger Kontakt innerhalb von 5 Tagen nach der Vorstellung dargelegt werden können, sind diese Bedingungen nicht bindend in Bezug auf diesen spezifischen Auftragsnehmer und diese spezifische Rolle oder Vakanz.
4. Sollte innerhalb von 12 Monaten nach Vorstellung ein Auftragsnehmer angestellt, sein Vertrag verlängert, oder er bzw. sie verwendet oder vom Kunden in einer seiner Dependenzen, Schwester- oder Tochtergesellschaften oder bei einem Kunden des Kunden („Partner “) direkt oder indirekt verwendet werden („Herantreten“), MUSS der Vertrag über Nelson Frank abgewickelt werden.
5. Sollte der Kunde oder seine Partner direkt, über eine andere Agentur oder unter einem Arbeitsvertrag an den Auftragsnehmer herantreten, wird eine Gebühr („Vorstellungsgebühr“) an Nelson Frank in Höhe von zwölf Wochen der zu erwartenden Bruttoentlohnung erhoben.
6. Wird ein Auftragsnehmer in ein Arbeitsverhältnis genommen und wenn Nelson Franks AGBs für Vertragspersonaldienstleisung beidseitig unterschrieben wurden (oder die eigenen AGBs des Kunden, wo zutreffend), gelten die Bedingungen der unterzeichneten Übereinkunft und nicht die genannten Bedingungen dieser Regelung im Vorfeld der Vorstellung („Pre-Introcution Terms“).
